An accredited investor is someone who has either one of two criteria

  2. Net worth of $1 MILLION Dollars *NET WORTH CAN BE DETERMINED BY SEVERAL FACTORS: PENSION, ETC. 
  3. Has income exceeding $200,000 per year over the past two year consecutively


Equity Fund I: No management fees or other fees.


Equity Fund II: Includes a standard 1% Asset Management Fee, along with a 2% Acquisition Fee and a 1% Disposition Fee.


You can invest through individual accounts, business accounts and retirement accounts.


Yes, as long as your custodian allows for the self-direction into a private placement. If they do not, schedule a call with one of our IRA experts and they will be able to help you.


The tax documents you receive will depend on the type of investment fund you hold with us. 

Here's a breakdown:

  • Equity Funds: Investments in our equity funds will typically receive a Schedule K-1 (Form 1041) at the end of the tax year. This form details your share of the fund's income, deductions, and credits, which you will need to report on your personal tax return.
  • Debt Funds: Investments in our debt funds will typically receive a 1099 form at the end of the tax year. This form reports the interest income you earned on your investment, which is generally considered ordinary income for tax purposes.


Why do I receive different forms for different funds?


The type of tax document you receive reflects the nature of your investment.

  • Schedule K-1 (Equity Funds):  Equity funds invest in assets that the fund owns and operates. As a part owner, you share in the profits and losses of the fund, which is why you receive a K-1 detailing your portion.
  • 1099 (Debt Funds):  Debt funds invest in loans or bonds issued by corporations or governments.  You earn interest on these loans, and the 1099 reports this income to you.

We recommend consulting with a tax advisor to ensure you properly report your investment income on your tax return. They can advise you based on your specific investment holdings and tax situation.
